These Wholesale Terms & Conditions (“Agreement”) set forth the rights and obligations between Carinos Kids Tekstil Sanayi ve Ticaret Limited Şirketi (“Seller”) and its wholesale customers (“Buyer”). By placing a wholesale order through carinostogikids.com (“Website”), the Buyer acknowledges, accepts, and undertakes to comply with the following provisions.

2. Scope of the Agreement

This Agreement applies exclusively to wholesale purchases of children’s clothing and textile products. Retail sales to end consumers are not conducted through the Website.

3. Wholesale Eligibility

  • Buyers must be legally registered businesses (e.g., retailers, resellers, boutiques, e-commerce stores).
  • A valid tax identification number, trade registry certificate, or business license may be requested.
  • The Seller reserves the right to approve or reject wholesale account applications.

4. Minimum Order Quantity (MOQ)

  • Wholesale orders are subject to a minimum order quantity, which will be determined per product category.
  • Orders below the MOQ will not be processed.

5. Pricing and Payment Terms

  • All prices are quoted in Euro (EUR) or US Dollar (USD), exclusive of VAT and shipping costs, unless otherwise stated.
  • The Seller reserves the right to update wholesale price lists without prior notice.
  • Payments must be completed via bank transfer, credit card, or other methods agreed upon before shipment.
  • Orders will only be processed after full payment is received.

6. Delivery and Shipping

  • Products are shipped from the Seller’s factory in İzmir or distribution center in Istanbul.
  • Delivery times depend on stock availability and logistics conditions. Estimated delivery times will be communicated upon order confirmation.
  • Shipping costs, customs duties, and any applicable taxes outside Turkey are the responsibility of the Buyer.
  • Risk of loss and title pass to the Buyer once the goods are handed over to the carrier.

7. Quality and Warranty

  • All products are manufactured and inspected according to industry standards for children’s clothing and textiles.
  • Minor variations in color, size, or fabric may occur due to production processes and shall not constitute grounds for cancellation.
  • The Seller warrants that the goods supplied are free from manufacturing defects at the time of delivery.

8. Returns and Claims

  • Wholesale orders are final and non-returnable except in cases of defective goods.
  • Claims regarding defective or damaged products must be submitted in writing within 7 business days of delivery.
  • Approved returns will be replaced with the same or equivalent products; refunds are provided only if replacement is not possible.

9. Intellectual Property

  • All trademarks, brand names, product designs, and images on the Website are the exclusive property of the Seller.
  • Buyers may use the Seller’s product images and catalogs only for the promotion and resale of purchased products, subject to prior written consent.

10. Limitation of Liability

The Seller shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profit, business interruption, or loss of reputation, arising from wholesale transactions.

11. Governing Law and Jurisdiction

  • This Agreement shall be governed by and construed in accordance with the laws of the Republic of Turkey.
  • Any disputes arising hereunder shall be submitted to the exclusive jurisdiction of the courts and enforcement offices of İzmir, Turkey.

12. Amendments

The Seller reserves the right to update, modify, or replace these Wholesale Terms & Conditions at any time. The most recent version will always be available on the Website.
