This Pre-Information Form (“Form”) is prepared by Carinos Kids Tekstil Sanayi ve Ticaret Limited Şirketi (“Seller”) for wholesale customers (“Buyer”) in compliance with the applicable provisions of the Turkish Commercial Code and the Law on Consumer Protection No. 6502, as applicable to wholesale contracts.

2. Main Characteristics and Price of the Goods

For each wholesale order placed by the Buyer, the system will provide a detailed breakdown including:

  • The product name, fabric/material, size/age group, and other essential distinguishing features,
  • The unit and total wholesale sales price including Value Added Tax (VAT),
  • Any applicable shipping, insurance, or customs charges.

This detailed breakdown will be presented electronically to the Buyer for final confirmation before the order is completed.

3. Delivery and Performance of the Agreement

  • Wholesale orders will be processed once the Buyer confirms the order electronically and completes the payment in full.
  • Delivery times may vary depending on stock availability or, in the case of custom production orders, the manufacturing schedule.
  • Products will be handed over to contracted logistics/shipping companies by the Seller, and tracking details will be shared with the Buyer via e-mail.
  • In any case, delivery shall not exceed the statutory maximum period of 30 (thirty) days unless otherwise agreed in writing.

4. Right of Withdrawal – Exceptions

Wholesale transactions are subject to specific restrictions on the right of withdrawal:

  • In accordance with Article 15 of the Distance Sales Regulation, contracts regarding goods prepared or customized specifically in line with the Buyer’s requests or business needs are excluded from the right of withdrawal.
  • As wholesale textile products (including private label or custom-size production) may be manufactured and allocated exclusively for the Buyer, such orders cannot be cancelled once production begins.
  • By confirming the order electronically, the Buyer acknowledges and irrevocably accepts this exception and waives the right of withdrawal.

5. Defective Goods and Dispute Resolution

  • The absence of a withdrawal right does not affect the Buyer’s legal rights in cases of defective goods (e.g., damaged, faulty, non-conforming, or incorrect products).
  • Defective goods include items delivered with clear production faults, major damages during transportation, or goods materially different from the order specifications.
  • Minor variations in color, size, or fabric, which are typical in textile production, are not considered defects.

In the event of disputes:

  • Buyers may apply to authorized arbitration committees or commercial courts within the jurisdiction of İzmir, Turkey, as determined by the applicable legislation and monetary limits announced by the Ministry of Trade.
